Legal draft · Effective 30 September 2026
Terms of Use / Terms of Service
These Terms govern access to and use of Akashic (Akashic MCP), including the website, documentation, admin interface, APIs, and hosted Model Context Protocol memory services (collectively, the “Service”). Using the platform constitutes acceptance of these Terms and the related Privacy and Cookie policies. That includes accessing or using the Service, creating an account, connecting an MCP client, or continuing after notice of updates. If you do not agree, do not use the Service. This is an operational draft for independent legal AUDITOR review—not a certification.
1. Eligibility and accounts
- You must be able to form a binding contract and must not be barred from using the Service under applicable law.
- The Service is not directed to children under 13.
- You are responsible for safeguarding credentials, API keys, and MCP tokens, and for all activity under your account.
- You must provide accurate registration information and promptly update it.
2. The Service
Akashic provides hosted persistent memory and related contextual database features for AI agents and humans (including memories, project rules, skills, documents, todos, and project tooling) over HTTP/MCP. Features may change. The Service is provided on an “as available” basis; we do not guarantee uninterrupted, error-free, or perpetual availability of any feature, uptime percentage, or particular model/agent behavior.
Optional commercial agreements (for example enterprise support) may set additional terms. Unless a signed agreement states otherwise, any such commercial commitment is reviewed on a periodic basis (historically framed as renewable periods not exceeding one year) so terms can track product and legal change.
3. Acceptable use
You agree not to:
- Violate law or third-party rights, or store or transmit unlawful, harmful, or infringing content.
- Attempt unauthorized access to accounts, systems, or data; probe, scan, or attack the Service except with prior written authorization.
- Interfere with or disrupt the Service, including abuse of rate limits, denial-of-service activity, or malware.
- Misrepresent identity or affiliation; harvest data from other users without permission.
- Use the Service to develop or operate competing infrastructure in a way that violates these Terms or applicable law, or to reverse engineer except where mandatory law permits.
- Circumvent security, encryption, or access controls, or share credentials in a manner that compromises account isolation.
We may investigate suspected violations and suspend or terminate access where reasonably necessary to protect the Service, users, or third parties.
4. Customer Content and MCP / memory responsibility
- You retain rights in content you lawfully own (“Customer Content”).
- You grant Akashic a worldwide, non-exclusive license to host, process, transmit, back up, encrypt, embed, index, and display Customer Content solely to operate and improve the Service as configured by you.
- You are solely responsible for Customer Content submitted by you or by agents acting for you (including LLM clients using MCP tools). Akashic does not monitor all content and does not warrant its accuracy, completeness, or fitness for any decision.
- You represent that you have all rights and lawful bases needed to store and process Customer Content through the Service, including personal data of others.
- Project export/backup features (where available) may produce plaintext copies under your control; you are responsible for securing those artifacts.
5. Intellectual property
The Service, including software, branding, documentation, and non-Customer Content, is owned by Akashic or its licensors. Except for the limited right to use the Service under these Terms, no rights are granted. Feedback you provide may be used to improve the Service without obligation to you.
6. Third-party services and AI clients
The Service may interoperate with third-party tools (IDEs, LLM hosts, OAuth providers, analytics, monitoring). Those services are governed by their own terms. Akashic is not responsible for third-party outages, model outputs, or how external agents use retrieved memories.
7. Privacy
Processing of personal data is described in the Privacy Policy and Cookie Policy. Those documents form part of the agreement created by your use of the Service.
8. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will meet your requirements, that memories or embeddings will be complete or correct, or that the Service is appropriate for safety-critical, medical, legal, or other regulated use cases without your own independent controls.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AKASHIC AND ITS OPERATORS, SUPPLIERS, AND CONTRIBUTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO AKASHIC FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED US DOLLARS (US $100) IF YOU HAVE NOT PAID FEES.
Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted. Nothing in these Terms excludes liability that cannot be excluded under applicable law (for example, certain liability for death or personal injury caused by negligence, or fraud).
10. Indemnity
You will defend and indemnify Akashic and its operators against claims, damages, and expenses (including reasonable legal fees) arising from your Customer Content, your use of the Service, or your violation of these Terms or applicable law, except to the extent caused by Akashic’s willful misconduct.
11. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access immediately if you breach these Terms, create risk or legal exposure, or if we discontinue the Service. Upon termination, your right to use the Service ceases. Provisions that by nature should survive (including IP, disclaimers, liability limits, indemnity, and dispute terms) survive.
12. Changes
We may modify these Terms by posting an updated version with a new effective date. Continued use of the Service after the effective date constitutes acceptance. If you do not agree, you must stop using the Service.
13. Governing law and disputes
Governing law, venue, and dispute-resolution mechanism (including any arbitration or consumer forum rules) will be confirmed with counsel based on the operator’s established place of business and your consumer protections that cannot be waived. Until that schedule is published, disputes will be handled in good faith through the contact channels below, without waiving mandatory consumer rights.
